01About these terms
These Terms and Conditions ("Terms") govern your use of dominantdigitally.com and the services provided by Dominant Digitally ("Dominant Digitally", "we", "us" or "our"). By using our website or hiring us, you agree to these Terms.
If you sign a proposal, statement of work or services agreement with us, that document also applies. If it conflicts with these Terms, the signed document takes priority for that engagement.
02Using our website
You may use our website for lawful purposes only. You agree not to:
- Copy, scrape or republish site content without our written permission.
- Try to gain unauthorized access to the site, its servers or connected systems.
- Upload or send malicious code, spam or content that is unlawful or harmful.
- Use the site in a way that could damage, disable or overload it.
Content on this website is for general information. It is not professional, legal or financial advice for your specific situation.
03Our services and scope
We provide digital marketing services, including SEO, content, web design and development, branding, paid advertising, social media, analytics and AI automation. The exact deliverables, timeline and fees for each engagement are set out in a written proposal or statement of work ("SOW").
Work that falls outside the agreed scope will be quoted separately. We will not start out-of-scope work without your approval.
04Proposals and acceptance
Proposals are valid for 30 days unless they state otherwise. An engagement begins when you accept the proposal in writing or electronically, or when you pay the first invoice, whichever happens first.
05Your responsibilities
To help us deliver on time, you agree to:
- Provide accurate information, timely feedback and the approvals we need.
- Give us access to the accounts, platforms and assets the work requires.
- Make sure any content, images or data you give us is lawful and that you have the rights to use it.
- Review and approve work before it goes live where approval is required.
Delays in feedback, access or approvals may shift timelines. We will tell you in writing when that happens.
06Fees and payment
Fees are listed in your proposal or SOW and are charged in US dollars unless agreed otherwise. Monthly retainers are invoiced in advance. Project fees may be split into milestones.
Invoices are due within the period stated on the invoice. If payment is late, we may pause work until the account is up to date. Fees do not include taxes, which are added where the law requires.
07Ad spend and third-party platforms
Advertising budgets are paid directly by you to the ad platforms, such as Google, Meta or LinkedIn, unless we agree otherwise in writing. Ad spend is separate from our management fees.
Third-party platforms, tools and software are governed by their own terms and policies. We are not responsible for platform outages, policy changes, account suspensions or algorithm updates that are outside our control.
08No guaranteed results
Search rankings, AI citations, ad performance and sales depend on many factors outside our control. We commit to skilled, professional work and honest reporting. We do not guarantee specific rankings, traffic, leads or revenue.
Any projections or estimates we share are good-faith forecasts based on available data. They are not promises of future results.
09Intellectual property
Once you have paid all fees for a deliverable, you own the final deliverables we create specifically for you, such as website designs, copy, graphics and campaign assets.
We keep ownership of our pre-existing tools, templates, methods and know-how. Where those are built into your deliverables, you receive a non-exclusive, perpetual license to use them as part of those deliverables. Third-party assets, such as stock images, fonts or plugins, remain subject to their own licenses.
Unless you ask us not to, we may mention your company name and a general description of our work in our portfolio. We will never share confidential details without your consent.
10Accounts in your name
Ad accounts, analytics properties, domains, hosting and CRM accounts should be owned by your business. We access them as authorized users. When an engagement ends, we will help hand over any access and remove our own users on request.
11Confidentiality
Both parties agree to keep the other's confidential information private and to use it only for the engagement. This duty does not apply to information that is public, already known, independently developed or that must be disclosed by law. It continues after the engagement ends.
12Data protection
Each party will comply with the data protection laws that apply to it. Where we process personal data on your behalf, we will do so only on your instructions and with appropriate safeguards. Our Privacy Policy explains how we handle personal information.
13Limitation of liability
To the extent allowed by law, Dominant Digitally will not be liable for indirect, incidental, special or consequential damages. This includes lost profits, revenue or data arising from our website or services.
To the extent allowed by law, our total liability for any claim is limited to the fees you paid us for that engagement. Only fees paid in the three months before the claim arose count toward this limit. Nothing in these Terms limits liability that cannot be limited by law.
14Term and termination
Either party may end an engagement with written notice as set out in the proposal or SOW. If no notice period is stated, 30 days' written notice applies to monthly services.
You will pay for all work completed and costs incurred up to the end date. Sections that by their nature should continue, such as payment, intellectual property, confidentiality and liability, survive termination.
15Third-party links
Our website may include links to other websites. We do not control those sites and are not responsible for their content, products or privacy practices.
16Changes to these terms
We may update these Terms from time to time. The "Last updated" date at the top of this page shows when they last changed. Changes do not affect signed proposals or SOWs that are already in progress unless both parties agree.
17Governing law and disputes
If a dispute arises, both parties agree to first try to resolve it in good faith through direct discussion. If it cannot be resolved within 30 days, either party may pursue other remedies.
Each engagement is governed by the law named in the signed proposal, SOW or services agreement. Where none is named, the dispute will be handled under the laws and courts that apply where Dominant Digitally provides the services, unless the law of your country requires otherwise.
